Amador Terms & Conditions

1. Introduction

Welcome to ‘Amador’ (Amador Pty Ltd ACN 692 891 277) (“Amador”, “we”, “us”, or “our”). These Terms & Conditions (“Terms”) govern your access to and use of our website, platform, and services (collectively, the “Services”). By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please discontinue use immediately.

We reserve the right to amend these Terms at any time. Changes will be posted on this page with the updated date. Your continued use of the Services constitutes acceptance of any changes. Please review these Terms regularly.

2. Scope of Agreement

  • Amador provides a platform facilitating Brand and Ambassador connections, collaborations, community, and a user-generated content (UGC) marketplace.

  • These Terms form a binding contract between you (the Brand or Ambassador) and Amador.

  • By registering, purchasing, or using our Services, you confirm that you have the legal capacity and authority to enter into this Agreement.

 

3. Eligibility & Registration

  • Age Requirement: You must be at least 18 years old to use our Services. By registering, you warrant that you meet this requirement.

  • Account Registration: To access certain features, you must create an account, providing accurate and current information.

  • Account Security: You are responsible for maintaining the confidentiality of your account credentials and all activities under your account. Notify us immediately of any unauthorized use.

  • Single Account Policy: Each user may register only one account. Multiple accounts may result in suspension.

  • Account Suspension/Termination: We reserve the right to suspend, disable, or terminate your account at our discretion for any breach of these Terms or suspected fraudulent activity.

 

4. License & Permitted Use

Amador grants you a platform to help Brands and Ambassadors enter into mutually beneficial social commerce interactions including:

  • Trade digital assets in a UGC (user-generated content) Marketplace

  • Join and participate in a community forum

  • Exchange product review and feedback

  • Create advertising and marketing campaigns and collaborations

  • Promote and sell unique discount codes or promotions

 

You may not:

  • Download, copy, or save content except as expressly permitted.

  • Use the website or content for commercial purposes, public display, or resale.

  • Edit, modify, republish, sell, rent, or redistribute any material from our website unless you have purchased it through the marketplace.

  • Use the website for unlawful, harmful, or fraudulent purposes.

 

5. Acceptable Use Policy

You agree not to:

  • Use the website in any way that may damage, disable, overburden, or impair the website or interfere with any other party’s use.

  • Harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate

  • Submit false or misleading information.

  • Use the site for any obscene or immoral purpose.

  • Use the website for any unlawful, illegal, fraudulent, or harmful purpose or activity.

  • Transmit, upload, or distribute viruses, malware, or any other harmful software.

  • Conduct any automated data collection (including scraping, data mining, or harvesting) without our express written consent.

  • Use automated tools (robots, spiders) to access or interact with the website.

  • Use data collected from the website for unsolicited marketing or direct marketing activities.

  • We are not liable for business losses, including loss of profits, revenue, contracts, data, goodwill, or any indirect, incidental, special, or consequential damages.

  • We are not liable for events beyond our reasonable control.

Nothing in these Terms excludes liability for death, personal injury, or fraud where not permitted by law.

 

11. Indemnity

You agree to indemnify and hold harmless Amador, its officers, employees, and agents from any claims, damages, liabilities, costs, or expenses (including legal fees) arising from your use of the Services, your breach of these Terms, or your violation of any law or third-party rights.

 

12. Breach of Terms

If you breach these Terms, we may, at our discretion:

  • Issue one or more formal warnings.

  • Suspend or terminate your access to the website and Services.

  • Take legal action against you.

You must not attempt to circumvent any suspension or restriction.

 

13. Privacy

We are committed to protecting your privacy. Please refer to our Privacy Policy for details on how we collect, use, and manage your personal information. By using our Services, you consent to our data practices.

 

14. Variation

We may revise these Terms at any time. Updated terms will be posted on this page. Your continued use of the Services constitutes acceptance of any changes.

 

15. Non-Circumvention

For 12 months after identifying an Ambassador through the platform, you must use Amador exclusively to request, make, and receive all payments for campaigns involving that Ambassador.

 

16. Assignment

We may assign, transfer, or subcontract our rights and obligations under these Terms. You may not assign your rights without our prior written consent.

 

17. Severability & Waiver

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force. Failure to enforce any provision does not constitute a waiver of rights.

 

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Amador regarding your use of the website and Services, superseding all prior agreements.

 

19. Termination

We may suspend or terminate your access to the website and Services at any time for breach of these Terms. Upon termination, all rights and licenses granted to you cease immediately. Any accrued rights or obligations survive termination.

 

20. Governing Law & Jurisdiction

These Terms are governed by the laws of New South Wales, Australia. Any disputes are subject to the exclusive jurisdiction of the courts of New South Wales.

 

21. Pricing & Payment

  • All prices exclude GST for Australian addresses.

  • We reserve the right to change fees and charges at any time without notice.

  • Payments must be made online via PayPal or Stripe.

  • Payment details may be stored by our payment processors (Stripe, PayPal, Kajabi).

 

22. Refund Policy

  • Due to the digital nature of our products, refunds are not available except where required by law (e.g., Australian Competition and Consumer Act 2010).

  • You may cancel your subscription at any time; access will be revoked upon cancellation.

  • No refunds will be issued after cancellation except as required by law.

 

23. Bonus Content

Any bonus content provided as part of a promotion is conditional upon continued active membership. If your membership lapses or is cancelled, access to bonuses is revoked.

 

24. Non-Payment by Clients

  • Ambassadors are paid only after Amador receives payment from Brands.

  • If a Brand fails to pay, their account may be suspended or terminated.

  • Overdue amounts accrue interest at 15% per annum, plus any recovery costs.

 

25. User-Generated Content (UGC) Marketplace

  • Ambassadors must be at least 18 years old and submit only original content.

  • Valid and accurate releases are required for assets featuring identifiable individuals or property.

  • Submission of false or incomplete releases may result in immediate account termination.

 

26. Asset License

  • Upon purchase, Brands receive a perpetual, worldwide, non-exclusive license to use the asset for commercial purposes.

  • Amador and Ambassadors retain all other rights in the asset.

  • Amador may resell assets and grant licenses to other Brands for marketing and advertising.

  • Ambassadors are paid per unique license issued, subject to Amador receiving payment from the purchasing Brand.

 

27. Acceptable Use of Purchased Assets

Purchased assets must not be used in any way that is:

  • Pornographic, obscene, immoral, infringing, defamatory, or libelous.

  • Likely to bring any person or property depicted into disrepute.

  • In a manner that portrays any individual in a negative or offensive light.

 

Prohibited uses include (but are not limited to):

  • Pornography, adult videos, or similar content.

  • Tobacco product advertisements.

  • Promotions for adult entertainment venues, escort, or dating services.

  • Political endorsements.

  • Defamatory, unlawful, offensive, or immoral contexts.

  • Implying that a person depicted engages in illegal or immoral activity or suffers from a physical or mental condition.

 

28. Restrictions on Use of Materials

  • Amador content may not be reproduced, distributed, or used for training or client distribution without written permission.

  • Requests for permission can be sent to hello@amador.app.

 

29. Copyright & Intellectual Property

  • All content on the website is owned by Amador or its licensors and protected by copyright and trademark laws.

  • You are granted a limited license for personal use only.

  • No content may be copied, modified, distributed, or used for commercial purposes without written permission.

  • Trademarks may not be used without express consent.

 

30. Submissions

Any feedback or suggestions provided to Amador become our exclusive property and may be used for any purpose without compensation or acknowledgment.

31. Data Security

  • We use commercially reasonable efforts to protect your data but cannot guarantee absolute security.

  • Use of the website is at your own risk.

 

32. General Disclaimer

  • All Amador products and services are for general education and information only.

  • Your success depends on your own efforts, skills, and circumstances.

  • Testimonials are for illustrative purposes and do not guarantee results.

  • Amador is not responsible for decisions or losses resulting from your use of our Services.

 

33. Earnings & Income Disclaimer

  • Amador makes no guarantees regarding results or income.

  • Your success is determined by your own actions, business skills, and circumstances.

 

34. Dispute Resolution

  • We will attempt to resolve disputes through negotiation or alternative dispute resolution before litigation.

 

35. Third-Party Services

  • We are not responsible for issues caused by third-party providers (e.g., Stripe, web hosts).

  • Any such issues are governed by your agreement with the provider.

You agree to indemnify and hold harmless Amador and its representatives from any claims, damages, liabilities, or expenses arising from your use of the website or breach of these Terms.
